Programme Overview

A lot of effort goes in finding the right investor for a business and vice versa. So, it is important not only to attract and justify the right valuation, and to arrive at the appropriate investment structure, but also to have appropriate investment agreements that represent the interests of everyone involved.

The investment firm would want to make sure its investment is protected, and the company would want to ensure that the funds are delivered smoothly and the founders have protected their stake in the venture. The intent is to have a well-rounded approach and lead to a win-win situation for the parties involved in any PE, VC and M&A deal.

This programme will help participants understand the documenting processes relating to PE/VC and M&A transactions, valuation considerations and dealmaking in the Covid and post-Covid era.

It will also explain tax mitigation strategies, and how to identify commercial issues and produce clear instructions to lawyers and executives involved.

In addition, the workshop will help in equipping the participants with the technicalities involved in clear and well thought out term-sheet negotiation, proper deal structuring to maximise returns, and with unambiguous deal documentation to avoid any pitfalls.
